1. Agreement
These Terms of Service (the “Terms”) form a binding agreement between you and NoNoVAT LLC, a Wyoming limited liability company with its principal office at 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, USA (“NoNoVAT”, “we”, “us”). They govern your use of nonovat.com, app.nonovat.com and every service you order from us.
By creating an account, checking the acceptance box or paying for an order, you agree to these Terms. If you do not agree, do not use the service. You must be at least 18 years old and able to enter into a binding contract.
2. The service
NoNoVAT helps you form a US limited liability company in Wyoming or New Mexico. The formation includes:
- preparing and filing the Articles of Organization with the state you choose;
- preparing your EIN application (Form SS-4) and submitting it to the IRS;
- an Operating Agreement signed online;
- a registered agent and a US address for the first year, through a licensed partner registered agent;
- preparing your Mercury bank account application;
- a client area to track your file, receive your documents and message our team.
From the second year, the annual plan includes the registered agent, the US address, mail scanning and, in Wyoming, the state annual report and its fee. Optional paid services are described when you order or in your client area.
3. No legal, tax or accounting advice
NoNoVAT is not a law firm, an accounting firm or a tax advisor, and does not provide legal, tax or accounting advice. No attorney-client or fiduciary relationship is created by your use of the service. Recommendations shown during onboarding (choice of state, options) are general information only.
You are solely responsible for your legal, tax and reporting obligations, in the United States and in any other country. In particular, a single-member LLC owned by a non-US person is generally required to file Form 5472 with a pro forma Form 1120 with the IRS every year, and failure to file may result in a penalty of $25,000 or more. This filing is not included in the formation or the annual plan unless you purchase it as an option. We recommend that you consult a qualified professional.
4. Your account and your information
You agree to provide accurate, current and complete information, to keep it up to date, and to provide the documents we request (government ID, proof of address, an SS-4 signed by hand). You are responsible for the information filed on your behalf and for keeping your login credentials confidential.
You represent that your LLC will be used only for lawful purposes and that neither you nor any member of your LLC is subject to US sanctions or listed on any OFAC list. We may refuse or stop any order if information is false or incomplete, if the business appears unlawful, or if required by law.
5. Third parties
States, the IRS, our partner registered agent, banks and payment providers (including Mercury, Wise and Stripe) act independently of NoNoVAT. Approval of a name, a filing, an EIN or an account is their sole decision. We prepare your applications but do not guarantee their outcome.
6. Prices and payment
Prices are shown in US dollars before you order:
- Wyoming formation: $999, then an annual plan of $359/year from the second year;
- New Mexico formation: $949, then an annual plan of $259/year from the second year.
The formation price includes the state filing fee for the first year. Any conversion into another currency is shown for information only; you are charged in US dollars and your bank may apply its own fees. Promo codes apply to the amount paid at checkout. Payments are processed by Stripe; we never have access to your full card number.
7. Timelines
We file the Articles of Organization within 48 business hours after receiving your payment and all required information. We request your EIN as soon as we receive your signed SS-4; it is usually issued the same day. Timelines depend on the states and the IRS and are estimates, not guarantees. If a state rejects your LLC name, you may choose another name at no extra cost.
8. Automatic renewal of the annual plan
The annual plan renews automatically every year on your LLC’s anniversary date, and the then-current price is charged to your saved payment method, until you cancel. You may prepay 2 years (15% off) or 3 years (20% off).
We email you 60 days and 15 days before each renewal. You can cancel at any time from your client area or by emailing bonjour@nonovat.com before the renewal date. Cancellation takes effect at the end of the period already paid; periods already paid are not refunded.
Without an active plan, NoNoVAT no longer provides your registered agent. You must appoint another registered agent, otherwise the state may administratively dissolve your LLC.
9. Changing registered agent
You may ask at any time to move your registered agent and address to the provider of your choice. We handle the transfer free of charge within 15 days of your request. Any fees charged by the state or your new provider are your responsibility.
10. Cancellation and refunds
You may cancel an order by emailing bonjour@nonovat.com:
- before your LLC is filed with the state: full refund;
- after filing: refund of the price paid minus the state and registered agent fees already incurred;
- once your LLC is formed and your EIN issued, the formation is complete and is not refundable.
The same rules apply if we stop an order under section 4. An optional service not yet started is refunded in full. Refunds are issued to the original payment method within 14 days.
11. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NONOVAT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE OR DATA, AND OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.
13. Indemnification
You agree to indemnify and hold NoNoVAT harmless from any claim, penalty or expense arising from inaccurate information you provided, your LLC’s business, or your breach of these Terms.
14. Electronic communications
You agree to receive notices, documents and signature requests electronically, and that electronic signatures and records have the same effect as paper ones, except where the IRS requires a handwritten signature.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. Before filing any claim, you agree to contact us at bonjour@nonovat.com and try to resolve the dispute informally for 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to their jurisdiction.
16. Changes and general terms
We may update these Terms. The version that applies to an order is the one you accepted at checkout; for the annual plan, we notify you of any change before the next renewal. If any provision is held unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy, are the entire agreement between you and NoNoVAT.
